Ledger™ Term Membership Agreement

  1. The Players. In this agreement, words like we, our, and us refer to the operators of Ledger. Currently, this is Ledger Operations Community, LLC, but we have the right to change this legal entity at any time. Words like you, your, and Member refer to you — the individual signing this agreement, and any legal entity or person you represent. If you claim to be representing a legal entity or other individuals, keep in mind that by signing you warrant you have the authority to bind them.
  2. Member Tiers. Ledger offers Member tiers, and each tier varies in the length of commitment and the amenities included. Review your Tier Details document to understand the benefits and obligations for your specific membership.
    • Hot Desk. Non-reserved workstations available to Members on a first-come basis during business hours.
    • Dedicated Desk. Reserved workstation available at all hours.
    • Office Share. Secure reserved workstation available at all hours.
    • Private Office. Move-in ready, fully furnished flexible offices and suites with Member credits included. Membership perks included. Available at all hours.

Membership Fees: The monthly Membership Fees for your Member Suite is posted above. The invoice is posted on the 1st of the current month and due by the 5th of the month. Ledger will automatically charge your preferred Member payment method on the 5th day of each calendar month for your recurring Member fee, credits, purchases, and any other charges associated with your membership. Your recurring Member fee begins accruing on your Member start date, and you are responsible for making timely payment. Payments that are outstanding more than 5 days will be subject to a late fee of 1% per month, and we reserve the right to suspend or terminate your membership and your access to our services for nonpayment. Payments by credit card may be subject to an additional processing fee. 

  1. Commitment Term: Your Membership will automatically renew upon the same terms if you do not give notice in accordance with Section 10 of this Agreement. In other words, if you have committed to a three-month additional term and fail to timely notify us of your intent to terminate your Membership, you will automatically be renewed for an additional three months at the expiration of the Initial Term.

Your Term: Your Initial Membership Term will start on the stated commencement date and ends in accordance to your commitment terms.

Termination before the Expiration of the Membership Term. You cannot terminate your membership prior to the end of that Term, or you will be breaching this Agreement. If you terminate your Membership before its expiration of your Membership Term, we will not pro-rate any of your Membership fees or other amounts due to us. If your membership is terminated before the end of the Membership Term, you must remove all your personal property within one business day of termination. Should you terminate your Membership early, all fees for the entire term are immediately due and payable. 

  1. Our Policies. By signing this agreement, you accept that you are bound by the Ledger Community Standards, the Ledger Network Policy, and the Ledger Privacy Policy, and the Ledger Commencement Date Agreement. We can, and will, occasionally update our policies, and we will notify you at your Member email address when we do so. By continuing as a Member and using the Ledger services, you agree to be bound by these updates.
  1. Our Services.
    A. Our Hours. All Members may access Ledger during our standard business hours of 7:00 a.m. to 5:00 p.m. on weekdays, except for public holidays which may have more limited hours. Depending on your Member tier, you may be able to access Ledger 24 hours a day, 7 days a week. Regardless of your tier, we may occasionally need to limit access but will make efforts to minimize these disruptions.
    B. General Services. We will make commercially reasonable efforts to provide you with access to Ledger and to our services. These services include at least access to and use of the following:
  • the common areas at Ledger
  • high-speed internet connection
  • printing, copying, and scanning system pay-as-you-go
  • reservation-only conference room spaces using Member credits or pay-as-you-go
  • private phone booths
  • assistance from the Community Team
  • Member Pantry areas and a selection of beverages at no charge
  • participation in Members-only events and promotions
  • additional Services specifically listed for your membership tier
  • bicycle storage and e-bike charging on a first-come, first-serve basis

B. Credits. Depending on your Member tier, you may receive credits that do not roll over each month. Credits are tied to your Member account and are non-transferable.

C. Mail and Package Services. Members at the Private Office tier or higher may receive mail and packages at Ledger, and we will hold packages for up to 14 calendar days. We cannot, however, be held liable for such packages, as we cannot guarantee receipt. All other membership tiers can add-on mail and package services. 

D. Bicycle Storage. As the first bikeable building, we prioritize safe and convenient storage of your bicycle while you are working at Ledger. Although bicycle storage areas are subject to video monitoring, we encourage you to use your own lock, and we cannot be held liable for any damage or loss to any item you store in these locations.

E. Storage Lockers. Ledger provides day-use storage lockers. Day use lockers are cleaned out after the close of business each day, unless you have a dedicated storage locker reserved through the Member portal and pay the associated fee. Ledger is not responsible for your items left in the storage lockers, and it is your responsibility to ensure you clean out your locker at the end of the day. 

  1. Community Standards. Every Member agrees to abide by the Ledger Community Standards while using the services and while present at Ledger. We reserve the right to suspend or terminate your membership and your access to our services for violations of these standards. While we encourage collaboration between Members, we cannot endorse or verify any individual Members, and we are not responsible for the actions of other Members. We will not participate in disputes between Members.

7. Health and Safety. Ledger, in its sole discretion, may take the steps necessary to protect its Members, employees, vendors and guests. For example, Ledger may require Members to wear masks, submit to temperature checks, limit the number and timing of guests, or temporarily restrict access to certain areas. 

8. Access and Security. As a Member, you will receive a keycard for access to Ledger, and you will be required to create an account in the Ledger Member System. Each keycard is specific to a single account and to a single individual and is connected to the Member credit system. You agree that you will not share your keycard with anyone else, and that you will not duplicate or alter your keycard, nor otherwise interfere with the keycard system. You are responsible for all actions associated with your keycard, so you should notify us immediately if your card is lost or abused. For security reasons, you may be required to show valid government-issued photo identification when entering Ledger or otherwise using your keycard. We may record certain areas of Ledger by video for security purposes.

  1. Property. We cannot be responsible for property you choose to leave behind at Ledger, and it is your responsibility to secure and store your personal items and equipment. 
  1. Termination. Your membership has an agreed Term — commonly this is either month-to-month or annual. If you wish to terminate a month-month membership or a membership with a longer Term, you must notify us 30 days prior to the end of the Term, and the termination will be effective at the end of the following month. 
  1. Our Intellectual Property. While we encourage you to share your Ledger experience with others, you may not use any of our intellectual property for any purpose, including commercial purposes, without our written consent. This includes our business names, trademarks, copyrights, patents, trade secrets, trade dress, and promotional materials. You may use the Ledger name in plain text for descriptive purposes, such as in a signature block or address listing, but you may not use it in other ways like domain names, social media profiles, etc.
  1. Publicity. You consent to our use of your company name and logo in any Member directory, both public or internal, and in our marketing materials. You also affirm that your logo does not infringe on the rights of any other party.
  1. Waiver of Claims and Limitation of Liability. You waive all legal claims against us and our affiliates, parents, and successors, and each of our and their employees, assignees, officers, agents, and directors (collectively, the Ledger Parties), resulting from injury or damage to, or destruction, theft, or loss of, any property or person, except to the extent caused by the gross negligence, willful misconduct, or fraud of the Ledger Parties. You agree that the aggregate monetary liability for any claim against the Ledger Parties is limited to the total amount you have paid to us in the 12 months prior to the claim. You further agree that the Ledger Parties will not be liable, under any claim, for any indirect, special, incidental, consequential, reliance, or punitive damages, including loss of profits or business interruption, or for the cost of any substitute goods, services or technology. Lastly, you agree that any claim must be commenced within one year of the claim’s accrual.
  1. Indemnification and Responsibility. You are responsible for your actions, and for the actions of any person or service animal you invite into Ledger, and you may be charged reasonable replacement or repair costs as required to address any damage caused. You further indemnify us against any claims resulting from your breach of this agreement, or from the actions or omissions of you or your guests, except to the extent a claim results from the gross negligence, willful misconduct or fraud of the Ledger Parties. We can restrict your ability to bring other people or animals into Ledger for any reason. You are responsible for maintaining, at your own expense, insurance in the amount appropriate to your business. For Members at the Private Office or Large Office tier, you will maintain a commercial general liability policy with us named as an additional insured, and with language showing the insurer waives all rights of recovery against us.
  1. Each provision of this Agreement is intended to have legal effect. Should any portion of this Agreement be held unenforceable, this Agreement shall be construed to give legal effect to all other provisions. 
  1. Relationship of the Parties.You and we are independent contractors, and no agency, partnership, or joint venture relationship is intended or created by this agreement. Neither party will in any way misrepresent our relationship.
  1. No Assignment. Except in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of the shares or assets of your legal entity, you may not transfer or otherwise assign any of your rights or obligations under this agreement (including by operation of law) without our prior consent. We may assign this agreement without your consent.
  1. Compliance with Laws.You represent that you will conduct your operations ethically and in accordance with all applicable laws. 
  1. Even after this agreement is terminated, certain terms will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination, including Sections 11–22. 
  1. Governing Law; Venue; Dispute Resolution.This agreement and any associated transactions are governed by the laws of the State of Arkansas without regard to conflicts of law provisions. Any dispute, controversy or claim between you and us that we can resolve amicably will be finally settled in accordance with the arbitration rules of the American Arbitration Association by a single mediator or single arbitrator. The place of any mediation or arbitration will be Bentonville, Arkansas. The award rendered will be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction. In any action to enforce rights under this agreement, the prevailing party will be entitled to recover its reasonable attorneys’ fees, and other fees, costs, and expenses of every kind in connection with the action, the collection of any award, and the enforcement of any order, as determined by the arbitrator or court. For the avoidance of doubt, all claims, suits, or other actions arising out of this Agreement shall be brought on Benton County, Arkansas.

 

  1. Class Action Waiver.Any proceeding to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No proceeding will be combined with another without the prior written consent of all parties to all affected proceedings. YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US INCLUDING ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS.

 

  1. Liability for Uncontrollable Circumstances. Sometimes, there are events that neither Ledger nor you can control. Neither party will be liable for failing to perform any obligation in this contract resulting from circumstances beyond the party’s reasonable control. These circumstances include, but are not limited to, construction delays, fire, terrorism, pandemics, labor shortages, and supply chain interruptions.

Welcome to Ledger! The security of all Personal Information (defined in paragraph 3) provided to Ledger is important to us. We take reasonable steps to use appropriate technical or organizational measures to protect your Personal Information, including against unauthorized or unlawful processing and accidental loss, destruction, or damage. 

By using our Services or providing Personal Information to us, you agree that we may communicate with you regarding security, privacy, and administrative issues relating to your use of our Services. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on our Services, by mail, or by sending an email to you.

This Privacy Policy describes what data Ledger collects, how Ledger uses this information, and how this data will be shared with others. Before you use our Services, please read this Privacy Policy in its entirety, to help you make informed decisions about your relationship with us. If you have questions about this Privacy Policy, please do not hesitate to ask!

  1. Overview. This Privacy Policy explains the who, what, when, and how Ledger collects, uses, and discloses your Personal Information. This Privacy Policy applies to all our Services, and at times refers to other documents. It is your responsibility to review these other documents. 
  2. The Players. In this Privacy Policy, words like we, our, and us refer to the operators of Ledger. Currently, this is Ledger Operations Community, LLC, but we have the right to change this legal entity at any time and without notice to you. Words like you, your, and Member refer to you, and any legal entity or person you represent. We may also affiliate with other entities that act as data controllers around the world and may act as the data controller for your Personal Information. So, your Personal Information may be shared with entities outside of the jurisdiction in which it was collected. 
  3. What Types of Data Ledger Collects. We collect certain Personal Information, which means data that relates to you and can—either on its own or in combination with other information—identify you as an individual. Personal Information does not include data that has been aggregated or made anonymous such that you can no longer be identified using means reasonably available to us. 

We also collect certain information about you that is not Personal Information. This may include intellectual property or other company information you share with us or through the Services, in accordance with any applicable agreements between you or, if applicable, your company, including, for example, trademarks, logos, and other intellectual property you own.

Ledger may collect and generate anonymized and aggregated information from your use of the Services. We use anonymized and aggregated information in various ways, including to measure your interest in and use of portions or features of the Services. Anonymized or aggregated information is not Personal Information.

Ledger collects Personal Information including: 

Contact Information and other Identifiers, including your name, mailing address, phone number, email address, and other information that enables us to contact you

Verification Information, including your personal photograph, photo ID or government issued identification, and date of birth

Professional and Employment-Related Information, including your company name, title, role, team, and other information about your profession

Payment Information, including your credit or debit card details, bank account information, and payment or other information required when you make a purchase

Email Calendar Information, should Ledger integrate with your email calendar (e.g., Gmail or Microsoft Outlook) and collect data regarding the conference rooms you book

Office Preferences, including your requested or preferred temperature, fan speed, desk and chair height, desk location, phone booth, beverage, snack, and other preferences related to the Services

Utilization Information, including how frequently you visit, how long you stay, and what types of Services you use. These include services such as printer or Wi-fi usage, and desk or conference room bookings

Communications, and any other information that you intentionally share with Us, send, or receive using the Services, including your email, SMS, Slack, requests made through feedback platforms, automated chatbots or similar technology, calendar invitations, and any other information you choose to share with us — including your photos, videos, blog entries, interests, hobbies, lifestyle choices, and groups with which you are affiliated — and that you send or receive using the Services

Device and Usage Information, including information about your computer or device and Internet or other electronic network activity information. This includes: 

Device identifiers, such as IP address, WIFI MAC address, and Bluetooth address 

Geolocation information, such as through your mobile device’s GPS signal or WIFI signal, and information about your contacts, depending on your device settings

Information about your online activity, including information collected using standard Internet technologies, such as cookies, pixels, web beacons, logs, and other Internet technologies

Information gathered by sensors about how you use our Services, including through Spatial and People Analytics Sensors in offices, kitchens, conference rooms, and other spaces of some facilities that you may work in or visit, to promote more efficient and comfortable uses of the Services. Examples of SPA Sensors include desk occupancy sensors, environmental sensors, WiFi network hubs, and optical camera-powered sensors

Social Media. We collect Personal Information to enable you to use our Member Portal and Services. If you register or log into your account through a third-party social media service, we will have access to some of your account information from that service, such as your name and other information in that account, as authorized by your settings on that service. 

Third-Party Sources. We obtain Personal Information about you from your company, broker, parent or guardian, or from your host if you are a visitor or guest to one of our spaces. We also may receive your Personal Information from publicly and commercially available sources, as permitted by law and other third parties with whom we have an arrangement. We combine this information with Personal Information or other information that we receive from or about you, where necessary to provide the Services you requested. 

Google and Other Third-Party Analytics. We use a tool called “Google Analytics” to collect information about the use of our Website Services (e.g., Google Analytics collects information such as how often users visit the Website Services, what pages they visit when they do so, and what other sites they used prior to visiting the Website Services). Google Analytics collects only the IP address assigned to you on the date that you visit the Website Services, rather than your name or other identifying information. The information collected using Google Analytics is not combined with your Personal Information. You can learn more about how Google Analytics collects and processes data and opt-out options at http://www.google.com/policies/privacy/partners/. We also may use other third-party analytics tools to collect similar information about use of certain online Services.

Other Personal Information, including, in addition to all of the information described above, instant messenger and social media screen names, usernames and passwords for Our systems, relationship to emergency point of contact, vehicle identification, bicycle identification, and other details such as the time and purpose of your visit, photos of you, and data or files that you input, upload, or store with the Services, such as search queries that you submit, and documents that you upload to the Services. We will also process Personal Information included in content and information that you add to your member network or community profile. 

  1. How Ledger Uses Your Data. How Ledger uses your Personal Information depends on your relationship with us. In general, we use your Personal Information to: provide you with our products and Services, including online and offline events, and other materials you request; protect against fraud, abuse, or harm; respond to or fulfill customer service requests; analyze or improve our products and Services; contact you about our Services, promotions, tailor and provide you with relevant advertising, enhance your engagement with us, and otherwise communicate with you through various means, which may include by email, telephone, postal mail, or by other means as communicated to you from time to time; and comply with our legal obligations and enforce our legal rights, such as, among other things, to exercise contractual rights, to comply with financial reporting obligations, court orders, warrants, or subpoenas in accordance with applicable law.
  2. Who Ledger Shares Your Data With. We share your Personal Information in limited circumstances to Ledger, our community, our service providers and advertisers, to provide our Services and to improve ways of working in our community, and where required by applicable law. Where required by applicable law, we will only share your Personal Information with third parties with your consent. We will require all parties receiving your Personal Information to take appropriate measures to protect your Personal Information and to process your Personal Information only for the purposes described: 

Among Ledger. We may share your Personal Information among Ledger businesses or entities depending on where you are located and the Services that you use. We use your information in accordance with this Policy, and we share this information for our administrative purposes including activities such as IT management, for them to provide services to you, or to support and supplement the Services that we provide.

Our Community. Our Services include online and offline Member communities, forums, networks, and other features through which you may share information and connect with others. This includes:

Member networks, chat rooms, forums, and/or other groups available to users. Remember that anyone can read, collect, or use your postings on a network or forum or in a chat room or group and we cannot be responsible for any unauthorized third party’s use of information that you publicly disclose online.

Through creating Member profiles for Members or permitting Members to create their own profiles on member networks or forums. Typically, such a profile contains your name, the name of your company, and other information you provide or add to your profile (content, comments, photos, etc.). Depending on the Services you use, this profile might be created automatically and be accessible to other members of the network or forum. Member Network profile information is accessible to all members. You can also share your profile with a broader audience (e.g., via social media).

When we receive information about you in connection with your relationship with our Members or clients—for example, if you are a Member’s employee or if you are visiting one of our clients—we may share your information with the Member or client with which you have such a relationship, for example, by alerting the Member or client that you have arrived to visit. Ledger is not responsible for the privacy practices of our Members or clients, or their third-party service providers, including those they integrate with our Services.

We also may share information about you with others in the community to provide you with certain features. For example, if you sign up for a professional event, we may provide the event organizer with certain information about you.

Primary Members. Information on the utilization of our services by individual members may be shared with the primary member or the organization who purchased the memberships. Examples of individual Members are employees of a Member company.

Suppliers and Vendors. We rely on various third parties to perform a variety of services on our behalf and to help us grow and improve our business. We take steps to ensure that where we share your Personal Information with these third parties that they act only in line with our instructions and on our behalf, or otherwise use Personal Information as described in this Policy.

Licensees. We share your Personal Information with our licensees, for the purposes described in this Privacy Policy, such as providing and personalizing the products and services, fulfilling your requests, providing their own marketing and complying with their legal and contractual obligations. 

Research / Survey Solicitations. From time to time, we will share your Personal Information to perform research (online and offline) via surveys on our behalf. Participation is voluntary, and we will use the information that we collect for research and reporting purposes, and to help us to improve the quality of our Services. We use the survey responses to determine the effectiveness of our Services, including the quality of our communications and our advertising and/or promotional activities. If you participate in a survey, your responses will be used along with other participants’ responses.

Other Parties in Connection with a Corporate Transaction. We disclose or share your information if we purchase, sell, finance, transfer, or acquire all or a portion of a business or assets, such as in connection with a merger, or in the event of a bankruptcy reorganization or liquidation.

Other Third-Party Partners, in Connection With your Membership Agreement. When the terms of your Membership Agreement allow, and where permitted by applicable law, we may disclose or share your contact information with select third-party partners who may contact you to offer additional services related to your Membership. You may opt out of further communications with such third-party partners by contacting Ledger and are under no obligation to meet with third-party partners or purchase additional services.

Other Third-Party Partners, With Your Consent. We may request your consent to share Personal Information about you with certain third parties so that they can provide you with special offers, promotional materials, and other materials that may be of interest to you. With your consent, we also use and publicize your name, likeness, and other personal characteristics and private information for advertising, promotion, and other commercial and business purposes.

  1. Ledger’s Use of Third-Party Content and Functionality. We partner with certain third parties to collect, analyze, and use some of the Personal Information described in this Policy. For example:
  • Third parties that provide features and functionality on the Services by means of plug-ins. Even if you do not click on or interact with social networking services or other plug-ins, they collect information about you, such as your IP address and the pages that you view.
  • Advertising providers help us, and our advertisers provide advertisements on our Services or elsewhere, including advertisements that are targeted based on your online behavior, and analytics companies help us measure and evaluate the usage of our services.
  • Other content providers offer products and services on our Services and operate contests, sweepstakes, or surveys on our Services.

We, as well as certain of these third-party partners may use tracking tools (e.g., cookies, web beacons, and Internet technologies) to collect information regarding your activities (e.g., your IP address or page(s) visited). We also share such information that we have collected with third-party advertising partners. These advertising partners use this information (and similar information collected from other websites) to deliver future targeted advertisements to you when you visit non-Ledger related websites within their networks. 

Some of these companies participate in industry-developed programs designed to provide consumers choices about whether to receive targeted advertising. Please visit the websites operated by the Network Advertising Initiative or the Digital Advertising Alliance, for more information about these companies use your data. 

  1. Your Data Rights. We value your rights to your data. In accordance with applicable law, you may have the right to:
  • request confirmation of whether we store, use, or share any of your Personal Information and be informed about third parties with whom your Personal Information has been shared;
  • obtain access to or a copy of your Personal Information; 
  • receive an electronic copy of the Personal Information that you have provided to us, or ask us to send that information to another company; 
  • restrict our uses of your Personal Information or, as described above, object to those uses or restrict our sharing of your Personal Information; 
  • seek correction of inaccurate, partial, untrue, or incomplete Personal Information; In some cases, we may provide self-service tools that enable you to update your Personal Information;
  • request erasure, anonymization, or blocking of Personal Information held about you by Ledger, subject to certain exceptions prescribed by law, when processing is based on your consent or when processing is unnecessary, excessive or noncompliant; 
  • withdraw your consent to our processing of your Personal Information. If you refrain from providing Personal Information or withdraw your consent to processing, some features of our Service may not be available; 
  • object to an automated decision Ledger has made and request the review of decisions taken exclusively based on automated processing if that could affect data subject rights; or 
  • cancel your online account if one has been created.

Additionally, you may have the right to opt-out or withdraw your consent for certain uses and disclosures of your Personal Information as outlined below.

Sensitive Personal Information. Sensitive Personal Information is data that relates to your health, religious or philosophical beliefs, or biometric information which is used to uniquely identify you. You may withdraw that consent, in accordance with applicable law. Prior to disclosing Sensitive Personal Information to a third party or processing Sensitive Personal Information for a purpose other than its original purpose or a purpose authorized subsequently by the data subject, Leger will endeavor to obtain your explicit consent (opt-in). Where your consent for the processing of Personal Information is otherwise required by law or contract, Ledger will comply with the law or contract.

Marketing Communications. We will provide a means to unsubscribe in our marketing-related email communications. Note that we will continue to send transaction-related emails regarding products or services that you have requested following an unsubscribe. We may also need to send you certain communications regarding operation and administration of the Services, and you will not be able to opt-out of those communications, e.g., communications regarding updates to our Community Standards or this Privacy Policy. If you no longer desire to be contacted by us, you must terminate your relationship with Ledger and can no longer use our Services.

Collaboration. We do not sell your Personal Information to third parties for their direct marketing purposes. We may partner with other organizations to run events or programs. The Personal Information and other information that you provide to sign up or participate in that event or program will be available to that organization, and you may receive emails or other communications from it after the event. Please refer to that organization’s privacy policy for information on how to opt-out of its communications.

To protect your privacy, Ledger will take steps to verify your identity before granting access or making any changes to your Personal Information. 

SENSITIVE INFORMATION. BECAUSE EMAIL COMMUNICATIONS ARE NOT ALWAYS SECURE, PLEASE DO NOT INCLUDE CREDIT CARD OR OTHER SENSITIVE PERSONAL INFORMATION (E.G., RACIAL OR ETHNIC ORIGIN, RELIGION, HEALTH, OR THE LIKE) IN YOUR EMAILS TO US.

  1. Video Surveillance. Ledger’s facilities use surveillance cameras to meet our legitimate business interests in protecting the safety of Ledger’s employees, Members, guests and property. These recordings may be accessed by Ledger. We may also make video footage available to members and other third parties authorized by Ledger. These recordings may be shared with competent authorities in accordance with applicable laws, if required. The recordings are generally retained for a limited period, but may be kept longer where Ledger determines that it is appropriate, for example in connection with the investigation of an incident, or when competent authorities request us to retain them.
  2. Collection of Data from Children. Generally, our Services are not directed to children, and we do not knowingly collect Personal Information from children except as permitted under applicable law. If we become aware that a child has provided us with Personal Information, we will delete such information from our files or obtain parental consent in accordance with applicable law.
  3. Third Parties. This Privacy Policy does not address the privacy, data, services or other practices of any entities other than Ledger.

We display advertisements and other content from third parties or partners that link to third-party websites that we do not own or operate. We provide links to these third-party sites as a convenience to you. They are not intended as an endorsement of or referral to the linked services. We cannot control or be held responsible for third parties’ privacy practices and content. Please read their privacy policies to find out how they collect and process your Personal Information prior to submitting any Personal Information. The collection, use, and disclosure of your Personal Information will be subject to the privacy policies of the third party and not this Policy. Ledger™ Network Policy

As a Member of Ledger, you can connect to our data network and to the internet using your personal Member login information. This Network Policy applies to your use of any of our data systems, so please read it carefully — if anything is unclear, just ask! 

  1. Your Access. We offer you network access as a Member and try our best to keep everything running smoothly. This includes maintaining wireless access points, providing ethernet cable options, and working to reduce downtimes as much as we can. Unfortunately, your connection may occasionally be unavailable for a variety of reasons: equipment problems, emergencies, maintenance, interference, and more. We are not responsible for these interruptions or for any performance issues you may experience — our Community Team will try to assist you in resolving these issues when possible. Your network speed can vary based on the equipment and technology you are using, and you are responsible for the setup and use of those devices. We are providing the connection on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties and terms, express or implied, including warranties, terms, or representations as to the availability, operation, security, performance, and/or use of our services, or any other materials on or accessed through our services, or the accuracy, speed, or availability of the services, network, or data, including any warranties or terms of merchantability, fitness for a particular purpose, title, non-infringement, and any implied warranties, terms, or indemnification arising from course of dealing or course of performance.

 

  1. Your Security. Every data network has potential vulnerabilities, and signals can be intercepted — we cannot and do not guarantee that your communications on our network are protected. Further, we do not regularly monitor your use of our network, your Member agreements permit us to monitor, review, and disclose the materials you transmit on the network if required by compliance with legal obligations. Ledger does not monitor network services that are not provided by Us. As the Ledger Privacy Policy explains further, we may use the information you provide us to improve our data network and the services we provide you.

 

  1. Your Responsibilities. You may only use our network for appropriate purposes that do not violate our Member policies, including our Community Standards. You may not seek to access or use our network in any way that violates the law, harms other Members, harms other parties, or harms us. You also may not interfere with our network’s operation and its use by other Members. Violation of these prohibited uses may result in suspension or termination of your access, termination of your membership, and civil or criminal liability. While we cannot give a complete list of specifically prohibited actions, examples of what you may not do include:
  • transferring material that is harmful to minors
  • transferring computer viruses, spam, or any other items that interfere with the operations of the network or of other systems
  • transferring material that infringes the intellectual property rights of others

 

We may report violations of our policies to law enforcement or civil authorities, and we may cooperate to provide information for any relevant follow-on investigation.
